1. Introduction

These terms of service (“Terms”) govern the use of Stockpilot, a B2B SaaS marketplace integrator and inventory management software owned and operated by Jiyu Ninja B.V. (“Company”, “we” or “us”). By accessing or using Stockpilot, you, as a company, agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you may not use Stockpilot.

2. Use of Stockpilot

In order to use Stockpilot, you must register for an account and provide certain information as prompted by the registration form. You represent and warrant that all required registration information you submit is truthful, accurate, and complete, and that you will maintain the accuracy of such information. You also warrant that you are of legal age to enter into a binding agreement and that your use of Stockpilot does not violate any applicable laws or regulations.

3. Payment and Trial

You will have a 14-day free trial period, after which you will be charged based on your order volume. The specific pricing will be presented to you before the end of the trial period. Payment will be made through the payment method you provided during registration.

4. Integration of Third-Party Platforms

The Company integrates with various third-party platforms, but the Company will not be held liable for any issues or problems that may arise from the integration of these platforms. Any issues or problems with the integration of these platforms must be resolved with the platform provider.

5. Modification of Terms

The Company reserves the right to change or modify these Terms at any time, effective upon the posting of the modified Terms on Stockpilot. By continuing to use Stockpilot after any such change, you accept and agree to be bound by the modified Terms.

6. Intellectual Property

Stockpilot and all content and software associated with it are the intellectual property of the Company and are protected by Dutch and international copyright and trademark laws. You may not use any content or software associated with Stockpilot for any commercial purpose without the express written consent of the Company.

7. Disclaimer of Warranties

Stockpilot is provided on an “as is” and “as available” basis. The Company makes no representations or warranties of any kind, express or implied, as to the operation of Stockpilot or the information, content, materials or products included on it. The Company does not warrant that Stockpilot will be uninterrupted or error-free, and the Company will not be liable for any interruptions or errors.

8. Limitation of Liability

In no event shall the Company be liable for any damages whatsoever, including but not limited to any direct, indirect, special, incidental, consequential or punitive damages, arising out of or in connection with your use of Stockpilot or any other site linked to it.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without giving effect to any principles of conflicts of law." %}
